Ctrl.Alt.Shift (we, us, our) welcomes you (you, your) to our website url: CtrlAltShift.co.uk (Website). If you continue to browse and use this website you agree to comply with and be bound by the following terms and conditions of use (Terms).  These Terms and our Privacy Policy (which sets out how we use any information we gather from you: http://ctrlaltshift.co.uk/content/privacy-policy) will govern our relationship with you in relation to your use of the Website.  Where you pay for a subscription or buy any goods or services through this Website you will be asked to agree to our separate Terms of Sale.
We may change these Terms at any time and will post those changes online. Please review these Terms regularly to ensure that you are aware of any changes.  Your continued use of the Website after changes have been made will be deemed to be your acceptance of such changes.
We, Ctrl.Alt.Shift are a division of Christian Aid and Ctrl.Alt.Shift.co.uk is a Christian Aid initiative. Christian Aid is a company limited by guarantee registered in England and Wales, registered office 35 Lower Marsh, London SE1 7RL, Company number 5171525, UK registered charity number 1105851, Republic of Ireland charity number CHY 6998.
 


1. Our Website
The Website and the content on the Website is provided for your information and for personal use only.    The Website is available for individuals over 18 years of age.  If you are under 18 years old, or do not agree to these Terms, please do not use the Website.
You agree to use the Website only for lawful purposes, and in a manner which does not infringe the rights, or restrict, or inhibit the use and enjoyment of the site by any third party.
Unauthorised use of this Website (and any content on the website) may give rise to a claim for damages and/or be a criminal offence.


 
 2. Ctrl.Alt.Shift Account
In order to access some features of the Website (including the Community), you will have to create an account. When creating your account, you must provide accurate and complete information.   How we use and maintain the information that you provide us is dealt with in our Privacy Policy.  Please be aware that we cannot be responsible for the security of any information you make available through the Community or you make available through the Website.
In the event that you breach these Terms and we receive a complaint from a third party, we reserve the right, at our discretion to provide your name and details to that third party.
It is important that you must keep your account password secure and confidential. You must notify us immediately of any breach of security or unauthorised use of your account as you will be solely responsible to us and to others for all activity that occurs on your account or any postings on the Community in your name.   You agree to keep your contact information accurate and up-to-date.
We may suspend or terminate your account (and access to the Website and Community) if we believe you are in breach of these Terms.  We may also remove and reissue the username for your account if we consider this to be appropriate (for example if you impersonate a third party or if a trademark owner complains about a username).
 


3. Use of the Community (Forums)
The ‘Community’ is the term for the various discussions forums, conversational areas, comment threads, and all other content and private messages on the Website. 
You are responsible for the content of any comments or other materials you post, submit or upload to the Community or to the Website (Submissions). 
You will ensure that any Submissions will comply with the Community Code of Conduct set out below. 
You acknowledge that the content of any Submissions will be viewed by other users of the Website and accordingly the contents of those Submissions will not be confidential.
You grant to us a non-exclusive licence in the Submissions to use for any purpose we see fit including but not limited to hosting, sharing and/or publishing those Submissions.


 
4. Moderation

The Website is moderated by an in-house team.

The moderators may remove any Submissions that:
    •    they consider (in their absolute discretion) do not comply with the Community Code of Conduct;
    •    they consider (in their absolute discretion) breach these Terms; or
    •    have been the subject of any complaint whether or not such complaint is substantiated.   

You should be aware that not all Submissions that do not comply with the Community Code of Conduct will be identified and/or removed by the moderators.   
If you believe that any Submissions do not comply with the Community Code of Conduct or these Terms or otherwise infringe your intellectual property rights or other rights, please email Help with the title ‘For moderator action’ setting out the Submissions and the breach in reasonable detail.
If you think your content has been removed in error you are welcome to ask for clarification via our Contact Us form on the Ctrl.Alt.Shift HQ page.
We are not responsible for the content of any Submissions and Submissions do not necessarily reflect our views.  We do not endorse or condone the content of any Submissions or those of any user.
We are under no obligation to allow you to post Submissions on the Community or Website.  We reserve the right to prevent some Submissions from being posted onto the Community or Website and/or to remove Submissions prior to being viewed by other users.
 

5. Outbound Links
Through this website you are able to link to other websites which are not under our control.   We have no control over the nature, content and availability of those sites.  The inclusion of any links does not necessarily imply a recommendation or endorse the views expressed within them.   In you follow any link you should check the terms and conditions for the use of such site and, we would recommend you review the privacy policy of such site before providing any personal information.
 

6. Community Code of Conduct
We are committed to keeping the Website safe, but we cannot guarantee it.
As a member of the Website Community you have a duty to maintain your own and fellow user’s safety.
In using the Website and Community, you will:
    •    ensure that the Submissions:
- do not contain any advertisements, commercial endorsements or other marketing or commercial communications or spam;
- are not inaccurate or misleading;
- are not unlawful, defamatory, abusive or obscene.
- do not violate any right of any third party, including copyright, trademark, privacy or other personal or proprietary right(s);
- are not abusive, offensive or incite others. Racial, sexual, homophobic slurs, will not be tolerated;
- do not have a negative impact on an individuals’ or the community’s experience on the site;
    •    not use the Community or Website for any commercial purposes;
    •    obtain all clearances necessary to post the Submissions on the Community and to enable us to use the Submissions as set out above.  In particular you warrant and undertake to us that you have:
- obtained all necessary permissions, licences and consents to include any music in the Submission (including but not limited to any synchronisation rights and public performance rights);
- obtained all necessary permissions and consents to include the image and performance of any individual within the Submissions;
    •    not abuse, humiliate, bully or impersonate any party or person;
    •    not create multiple user identities;
    •    not undertake any spamming or flooding.  All posts should be related to the discussion topic. Please be aware that off-topic, repetitive or disruptive comments may be removed;
    •    not copy other users' content or collect any information on other users or otherwise access the Website using automated means;
    •    not upload viruses or other malicious code;
    •    not solicit login information or access an account belonging to someone else;
    •    not do anything unlawful, misleading, malicious, or discriminatory;
    •    not do anything that could disable, overburden, or impair the proper working of the Website; or
    •    not facilitate or encourage any breach of these Terms;
    •    not provide any false personal information, impersonate any third party or create an account for anyone other than you;
    •    not use the Website or the Community if you are under 18;
    •    not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account; and
    •    not transfer your account to anyone without first getting our written permission.

No material from the Website or the Community may be copied, reproduced, republished, downloaded or uploaded, reposted, retransmitted, or distributed in any way.  However, you may download one copy of the materials on any single computer for your personal non-commercial use, provided that you keep intact all copyright and other proprietary notices.
If you do download software from the site, the software including any files, images incorporated in or generated by the software and data accompanying the software (Software) are licensed to you by us. We do not transfer title to the Software to you.
You may not redistribute, sell, decompile, reverse-engineer or disassemble the Software.
No part of this website may be publicly reproduced in any form without our prior written consent.

Any information and/or materials on the Website have been included in good faith Whilst we will use not knowingly post inaccurate information on the Website and will use our reasonable efforts to correct any inaccuracies or errors where these are drawn to our attention, the information and materials may contain inaccuracies or errors.  Unless specified in separate terms and conditions relating to a particular product of services we make no warranties (express or implies) as to the accuracy, timeliness, performance, completeness, quality or suitability of the information and materials found or offered on this Website for any particular purpose or that such materials or information does not infringe the rights of any third party.
We will use our reasonable efforts to keep the Website up and running smoothly and free from viruses or bugs. However:
    •    we do not give any warranties (either express or implied) that the Website will be available, will function smoothly or is free from viruses or bugs; and
    •    we cannot be held responsible if the Website is unavailable or not functioning for any reasons outside of our control; and
    •    you should run your own up-to-date anti-virus software and undertake your own checks.
We cannot be held responsible for any errors or omissions, bugs or viruses or infringements of third party rights contained within any Submissions or content uploaded by any user.   If you are aware of such errors, omissions, bugs, viruses or infringements please report these to us in accordance with section 4.

Your rights as a consumer are not affected by these Terms.
 

9. Events Policy
Other users of the Community are able to post links to and details of their own events on the Community.  Members are able to create their own events and We do endorse or support any of these activities and have not undertaken any checks on these activities and cannot confirm whether these events are officially organised, are safe or comply with all relevant laws.  We therefore we take no responsibility for, and provide no recommendation or endorsement to, those events and you are advised to satisfy yourself about the nature or those events before taking part. We reserve the right to remove details of or links to any activities and/or events submitted to the Website our site for any reason and will remove those events of which we become aware which we consider are illegal or dangerous or otherwise inappropriate, or which otherwise breach the Community Code of Conduct.

We will make it clear which events we organise or have endorsed.  For all official CrtlAltShift events and third party events we will take appropriate action to ensure reasonable risk assessments are undertaken, and precautions are taken and relevant permissions sought and reasonable precautions are taken to reduce risks. 

However, all events – particularly demonstrations and rallies - do have risks and/or dangers associated with them and you should consider whether the event is suitable to you before taking part.  We will not be responsible for any loss or damage you suffer at any such events where that loss or damage is outside of our direct control unless that loss or damage (including personal injury) is caused by our negligence, a breach by us of our statutory duty or caused directly by us.  Accordingly, you should always use your common sense and take steps to minimise or reduce any risk you could face.
We reserve the right to block accounts or users which we believe are linked to trouble at/around events whether or not these have been organised or endorsed by us.
 

10. Communications
When creating your account you are required to provide a valid email address. This address will be kept on record and an optional Newsletter/ezine is available, with subscription offered at sign up. You can change your subscription settings at any time in your account profile settings, however we will keep all member email addresses on file for customer service purposes such as password resetting and important site update emails such as changes to site &/or account.

You agree to fully indemnify, AND HOLD us, OUR OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS harmless FROM AND against all claims, ACTIONS, DEMANDS, liability, damages, losses, costs and expenses, including legal fees, suffered OR INCURRED by us arising out of your use of AND ACCESS TO the Website, YOUR BREACH OF THE TERMS, YOUR VIOLATION or infringement OF ANY THIRD PARTY RIGHT; or ANY CLAIM THAT YOUR USER SUBMISSIONS CAUSED DAMAGE TO ANY THIRD PARTY.

You may send us notices under or in connection with the Terms by email to the editor.
Acknowledgement from us signifies our receipt of your notice, which we will aim to send to you within 5 working days of our receipt of your notice.  You should keep such acknowledgement.
 

14. General
If any part of the Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from the Terms and shall not affect the validity and enforceability of any of the remaining provisions of the Terms.
No failure or delay on our part to exercise any right, power or remedy under the Terms shall operate as a wavier thereof, nor shall any single or partial exercise by us of any right, power or remedy preclude our further exercise or the exercise of any other right, power or remedy.  The rights, powers and remedies provided are cumulative and are exclusive of any rights, powers or remedies at law.
Headings inserted hereof are for convenience only and do not form part of the Terms.  References to the singular shall include the plural and vice versa; and references to any gender shall include all other genders.
These Terms and the Privacy Policy (as amended from time to time) contain the entire agreement and understanding between us in respect of all matters which are referred to herein and supersede any prior written or oral agreement between us relating to such matters.  No oral explanation or oral information given by either of us shall alter the interpretation of the Terms. You confirm that, in agreeing to accept the Terms, you have not relied on any representation that is not expressly included herein and you agree that you shall have no remedy in respect of any misrepresentation which has not become a term of the Terms.  However, nothing in the Terms will exclude liability for any fraudulent statement or act.
The Terms and any dispute or matter arising from or incidental to the use of the Website will be exclusively governed by and construed in accordance with the laws of England and Wales.  You shall submit to the non-exclusive jurisdiction of the courts of England and Wales but we reserve the right, at our sole discretion, to commence and pursue proceedings in alternative jurisdictions.
